1. About these terms

These Terms & Conditions ("Terms") govern the services provided by Jackfruit Adventure, trading as Vietnam Corporate Events, a Jackfruit Adventure brand ("we", "us", "our"), and the use of the website vietnamcorporateevents.com.

We are a licensed tour operator in Vietnam, holding International Tour Operator Licence CP/No 79-1426/2022, with our registered office at TK46/28 Hem Ben Chuong Duong, Cau Ong Lanh Ward, Ho Chi Minh City, Vietnam.

By requesting a proposal, confirming a booking, or using this website, you agree to these Terms.

2. Definitions

• "Client" — the company or individual booking our services.
• "Event" — the corporate event, team-building program, conference, incentive trip, retreat, or other service we agree to deliver.
• "Participant" — any person attending the Event.
• "Proposal" — the written offer we provide setting out the program, inclusions, and price.
• "Booking Confirmation" — our written confirmation that an Event is contracted, issued after acceptance of a Proposal and receipt of the deposit.

3. Our services

We design and deliver corporate events across Vietnam, including team building, incentive travel, conferences and MICE programs, CSR activities, and year-end events. Services may include venue sourcing, activity design and facilitation, transport, accommodation coordination, catering, AV and production, branding, and on-site event management, as specified in the Proposal.

Only inclusions expressly listed in the Proposal form part of the Event. Anything not listed is excluded.

4. Proposals and bookings

4.1 Proposals are provided free of charge and without obligation.

4.2 Unless stated otherwise, a Proposal is valid for [14 / 30] days from its date. Prices, venue availability, and supplier rates are subject to change until a Booking Confirmation is issued.

4.3 A booking becomes binding only when we issue a Booking Confirmation and the deposit under §5 has been received.

4.4 The Client warrants that the person confirming the booking is authorised to do so on the Client's behalf.

5. Prices and payment

5.1 All prices are quoted in [VND / USD] and are [inclusive / exclusive] of VAT and applicable taxes, as stated in the Proposal.

5.2 Payment is made by bank transfer to the account specified on our invoice. Bank charges are borne by the Client.

5.3 Deposit and payment schedule are as set out in the Proposal and invoice for each Event.

5.4 We reserve the right to withhold or suspend services where payment is overdue.

6. Changes to a booking

6.1 Changes requested by the Client. Requests to change the date, destination, program, or scope must be made in writing. We will use reasonable efforts to accommodate them, but changes are subject to availability and may result in price adjustments or supplier charges, which the Client agrees to pay.

6.2 Changes made by us. Occasionally we must alter elements of an Event — for example due to venue availability, weather, safety, or supplier failure. Where this happens we will provide a substitution of comparable standard and notify the Client as soon as reasonably possible. Minor changes to the program do not entitle the Client to cancel or claim a refund.

6.3 Participant numbers. Final participant numbers must be confirmed 14 days before the Event. Charges are based on the confirmed number or the actual number attending, whichever is higher. Increases are subject to availability and may incur additional cost.

7. Cancellation and refunds

7.1 Cancellation by the Client must be made in writing. Cancellation charges are those set out in the Proposal and Booking Confirmation for the Event.

7.2 In addition, any non-refundable third-party costs already committed on the Client's behalf (venue deposits, flights, accommodation, custom production or branding) remain payable in full.

7.3 Cancellation by us. If we cancel an Event for reasons other than the Client's default or Force Majeure, we will refund all sums paid. This refund is the limit of our liability in those circumstances.

7.4 No refund is due for unused services, late arrival, early departure, or Participants who do not attend.

8. Client responsibilities

The Client shall:

• provide accurate and timely information, including Participant numbers, dietary requirements, accessibility needs, and relevant health conditions;
• ensure Participants are informed of the program and any physical requirements;
• ensure Participants behave lawfully and respectfully toward staff, suppliers, venues, and the public;
• be responsible for any loss or damage caused by Participants to venues, equipment, or third-party property.

We may remove any Participant from an activity, without refund, where their conduct poses a risk to themselves or others, or where they are under the influence of alcohol or drugs to an extent that makes participation unsafe.

9. Health, safety, and suitability of activities

9.1 Some activities are physical in nature and may take place outdoors, on or near water, or in remote areas. Participants take part voluntarily and should be in reasonable health.

9.2 The Client must inform us in advance of any medical condition, injury, pregnancy, or disability that may affect a Participant's safe participation, so we can advise on suitability or provide alternatives.

9.3 We conduct safety briefings and provide qualified facilitators and appropriate equipment. Participants must follow all instructions given by our staff and suppliers.

9.4 We may modify, postpone, or cancel any activity on safety grounds, including for adverse weather. Where an outdoor activity cannot proceed, we will provide the agreed alternative wherever possible.

10. Insurance

10.1 We maintain the insurance required of a licensed Vietnamese tour operator, including [public liability] insurance.

10.2 The Client is strongly advised to ensure all Participants hold adequate travel and medical insurance, including cover for the activities in the program, medical treatment, and repatriation. We do not provide personal travel or medical insurance for Participants.

11. Force majeure

We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including natural disasters, extreme weather, flooding, fire, epidemic or pandemic, government action or restrictions, civil unrest, strikes, transport disruption, or utility failure.

Where an Event is prevented by such an event, we will work with the Client in good faith to postpone to a mutually acceptable date, or to recover what we reasonably can from suppliers. Sums already committed to third parties may not be recoverable.

12. Third-party suppliers

Certain elements — including hotels, restaurants, transport operators, cruise operators, and venues — are provided by independent third parties. We select suppliers with care and coordinate them on your behalf. Their own terms and conditions may apply, and we are not liable for their acts or omissions beyond our duty to select and manage them with reasonable skill and care.

13. Photography, media, and intellectual property

13.1 We routinely photograph and film our Events for delivery to the Client and, where permitted, for our portfolio and marketing.

13.2 The Client will inform Participants of this and notify us in advance if any Participant objects, or if the Event is confidential and no marketing use is permitted.

13.3 All content on this website — including text, images, program concepts, and designs — is our property or licensed to us, and may not be reproduced without written permission.

13.4 Client trademarks and branding supplied for event use remain the Client's property and will be used solely for the Event.

14. Liability

14.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be excluded under applicable law.

14.2 Subject to 14.1, our total liability arising out of or in connection with an Event shall not exceed the total amount paid by the Client for that Event.

14.3 We are not liable for indirect or consequential loss, including loss of profit, loss of business, or reputational damage.

14.4 We are not liable for loss of or damage to Participants' personal property.

15. Data protection and privacy

We process personal data in accordance with our Privacy Policy and applicable Vietnamese data protection law. Participant information is used solely to plan and deliver the Event and is shared with suppliers only as necessary for that purpose.

16. Website use

16.1 This website is provided for information. While we take care to keep it accurate, content, prices, and availability may change without notice and do not constitute a binding offer.

16.2 You may not use this website unlawfully, attempt to gain unauthorised access, or copy its content for commercial use without permission.

17. Complaints

If any aspect of an Event does not meet expectations, please raise it with our on-site coordinator immediately so we can address it during the Event. Any subsequent complaint should be sent in writing to xinchao@vietnamcorporateevents.com within [30] days of the Event date.

18. Governing law and jurisdiction

These Terms are governed by the laws of the Socialist Republic of Vietnam. The parties will attempt to resolve any dispute amicably; failing which, disputes shall be submitted to the competent courts of Ho Chi Minh City, Vietnam.

19. Changes to these Terms

We may update these Terms from time to time. The version in force at the date of your Booking Confirmation applies to that Event. The current version is always published on this page.
